| Mr. Yu has over 16 years of experience in senior management with several Northern China based enterprises, responsible for marketing, strategic planning and designing for many of these corporations. Mr. Yu previously served as the CEO of RETONG.COM, chairman of Harbin Zhong He Li Da Technology Corporation, Heilongjiang Retong Advertising Co., Ltd. and Heilongjiang Wantong Telecommunication Project Co., Ltd. Mr. Yu received a B.A. degree from the Harbin University of Science and Technology in 1989. |
Mr Zibing Pan–Chief Financial Officer
| Mr. Pan is a Certified Public Accountant, certified by the Oklahoma State Board of Accountancy and member of American Institute of Certified Public Accountant (AICPA) and Oklahoma Society of Certified Public Accountants (OSCPA). Mr. Pan graduated with a Master of Business Administration from the University of Central Oklahoma in 1999. He obtained his Bachelor of Arts from Anhui University, China in 1988. Prior to joining to the Company, Mr. Pan was an audit manager with Eide Bailly CPAs & Business Advisors (“Eide Bailly”) at Oklahoma City office. Mr. Pan had been working at Eide Bailly since September 2005. From September 1998 to September 2005, Mr. Pan was a statistical analyst and economist with the State of Oklahoma. He reviewed and compiled complex statistical data, and provided consultation to managers and administrators to aid in the development of appropriate assessment and evaluation mechanisms for programs and services. From 1994-1996, Mr. Pan worked as a loan project officer for Asian Development Bank (ADB) Loan Management Office in Anhui, China. From 1988 - 1994, Mr. Pan was an associate professor at Anhui University, China.

Mr. James Hsu – Independent Director
| Mr. Hsu serves as the president of Global Education Initiatives, Inc., which develops higher education collaboration programs between the U.S., Taiwan and China and has been in this position since 1997. He served as the chief executive officer of Greater New York Home Care Systems, Inc., which provides infusion and other health care services to patients in their homes, since 1998. He is a founder of HeritageEast, which promotes cultural exchange between the U.S. and China, and YYnet Communications, which specializes in information system services. He received a B.A. in Economics from Taiwan University, an M.A in Management Science from Yale University and a Ph.D. in Industrial and Operations Engineering from the University of Michigan. |
Mr. Ansheng Huang - Independent Director
| Mr. Huang serves as the training director of the Vocational Education Equipment Commission at the Chinese Vocational Education Association and has been in this position since 1996. From 1991 through 2006, Mr. Huang was the division director of technology development at the China Education Instruction and Equipment Corporation of the Chinese Ministry of Education. Mr. Huang graduated from the Department of Beijing Institute of Education with a Bachelor's Degree in Physics. |
Mr. Liansheng Zhang - Independent Director
| Mr. Zhang currently serves as Pluralism Director at the Heilongjiang provincial Base of Research and Experiment in Polymer Science & Technology. He was also appointed as a People's Representative during the 9th (1998) and 10th (2003) National People's Congress of China for his extraordinary achievement in Polymer Science and Technology. He received a Bachelor's Degree in Organic Chemistry from the Heilongjiang University and Master's Degree in Polymer Chemistry at Jilin University. Mr. Zhang was also a visiting scholar at the University of Bradford. |
Mr. Yizhao Zhang - Independent Director
Mr. Zhang graduated with a Bachelor of Economic Science from Fudan University in 1992. In 2003, he graduated with a Master of Business Administration with two concentrations, financial analysis and accounting, from the State University of New York, University at Buffalo.
Mr. Zhang is presently helping several Chinese companiesto be listed in oversea markets. From August 2008 to January 2009, he was the Chief Financial Officer of Energroup Holdings Corporation, an Over the Counter Bulletin Board company. From May 2007 through May 2008, he was Chief Financial Officer of Shengtai Pharmaceutical Inc., an OTCBB company. From April 2006 through December 2006, he was the Deputy Chief Financial Officer of China Natural Resources, Inc., a NASDAQ-listed company and from April 2005 through April 2006, he was the vice president and senior manager in Chinawe Asset Management Consultancy Limited, a US public company which mainly manages non-performing loan assets in China. He was a financial consultant with Hendrickson Asset Management LLP from January 2004 through November 2004. Prior to that he worked as a portfolio manager and foreign exchange and common stock trader with the South Financial Service Corporation from 1993-1999.
Mr. Zhang is a Certified Public Accountant, certified by the Delaware State Board of Accountancy, member of American Institute of Certified Public Accountant (AICPA).

Audit Committee The Company’s Audit Committee now comprises three independent board members, namely, Yizhao Zhang (Chairman), Liansheng Zhang and James Hsu.
Compensation Committee The Company’s Compensation Committee comprises three independent board members, namely Liansheng Zhang (Chairman), Yizhao Zhang and Ansheng Huang.
Nominating Committee The Company’s Nominating Committee comprises three independent board members, namely Liansheng Zhang (Chairman), Yizhao Zhang and Ansheng Huang.
Prior to October 2007, China Education Alliance Inc.'s Management Team performed the Committee functions which included overseeing all Accounting and Financial Reporting protocols as well as financial data and statements. China Education Alliance Inc. has been a fully reporting Company since 2004.
